Acceptance
By creating an account or using Sernix, you agree to these Terms of Service. If you are signing up on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and references to “you” mean that entity.
If you do not agree to these terms, do not use Sernix.
The service
Sernix is an autonomous SEO and content optimization platform. It crawls websites, detects SEO issues, generates AI-powered fix content, deploys approved changes directly to connected CMS platforms (WordPress, Shopify, GitHub), monitors deployed changes for drift, and surfaces Google Search Console data in a unified dashboard.
We maintain a target uptime of 99.5% for paid plans, measured monthly, excluding scheduled maintenance. We reserve the right to modify, suspend, or discontinue any feature with reasonable notice.
We reserve the right to refuse or terminate service to anyone, at our discretion, with notice where feasible.
Your account
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activity that occurs under your account
- Providing accurate registration information and keeping it current
Each account is for a single user. Team access is available on the Business plan via team seats. Account sharing is not permitted.
Notify us immediately of any suspected unauthorized access at security@getsernix.com.
Acceptable use
Use it for your sites or sites you have permission to optimize. Don’t weaponize it.
You may use Sernix only for lawful purposes and in accordance with these terms.
You may not:
- Run Sernix against sites you do not own or have written authorization to analyze and modify
- Use the platform to generate spam, deceptive content, or AI-generated content at scale without editorial oversight
- Reverse-engineer, scrape, or exfiltrate our analysis algorithms, AI prompts, or proprietary scoring models
- Circumvent usage limits or crawl quotas through account sharing, multiple accounts, or API abuse
- Use Sernix to optimize content that is illegal, harmful, defamatory, or violates third-party rights
- Interfere with the security, availability, or integrity of the platform
Violation may result in immediate account suspension without refund.
AI-generated content
We generate suggestions. You review and approve. You own what you publish.
Sernix uses large language models to generate SEO content: title tags, meta descriptions, JSON-LD schema markup, alt text, and internal link suggestions. All generated content requires your explicit approval before it is deployed to your site.
Sernix does not guarantee that AI-generated content will improve search rankings. SEO outcomes depend on factors outside our control, including search engine algorithm changes and competitor activity.
You are solely responsible for content published to your site via the platform, including ensuring it is accurate, lawful, and compliant with applicable platform policies.
We log AI outputs for quality assurance and safety purposes. These logs are protected under our Privacy Policy and are not used for advertising.
Billing & payment
Plans are billed monthly or annually, in advance. All payments are processed by Stripe. We never store or handle your payment card data.
- Cancellation: Effective at the end of your current billing period. No prorated refunds for mid-period cancellations.
- Upgrades: Prorated and effective immediately.
- Failed payments: 3-day grace period, then account suspended. Your data is retained for 30 days before deletion.
- Refunds: 14-day money-back on your first purchase if Sernix fails to connect to your site due to a platform defect. No refunds after 14 days.
We reserve the right to change pricing with 30 days notice. Price changes do not apply to active annual subscriptions until renewal.
Intellectual property
Sernix owns: the platform, its algorithms, UI, API, brand, and all underlying technology.
You own: your site data, crawl snapshots, and any content generated by Sernix AI that you have approved and published to your site. We claim no ownership over your published content.
Feedback: Feature requests, bug reports, or product feedback you submit grant us a perpetual, royalty-free license to use that feedback to improve the product. We will not compensate you for feedback, but we genuinely appreciate it.
Disclaimer of warranties
The Sernix platform is provided “as is” and “as available.” We warrant that the platform will function materially as described in our documentation. However:
Plain English: we do our best and stand behind the product, but search ranking outcomes depend on factors outside our control.
Limitation of liability
Our liability is capped at what you paid us in the prior 3 calendar months.
To the maximum extent permitted by applicable law, Sernix’s total aggregate liability for any claims arising from or related to these terms or your use of the service shall not exceed the fees you paid to Sernix in the three calendar months immediately preceding the claim.
Sernix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, even if we have been advised of the possibility of such damages.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain damages, so some of the above may not apply to you.
Indemnification
You agree to indemnify, defend, and hold harmless Sernix and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from:
- Your use of the service in violation of these terms
- Content published to your site via the platform
- Your infringement of any third-party intellectual property or other rights
- Your violation of any applicable law or regulation
Governing law & disputes
These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Before initiating any formal dispute, you agree to contact us at legal@getsernix.com and attempt to resolve the matter through good-faith negotiation for at least 30 days.
If negotiation fails, disputes shall be resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association (AAA), conducted in English, remotely. The arbitrator’s decision shall be final and binding.
Class action waiver: you may only bring claims against Sernix in your individual capacity, not as a plaintiff or class member in any class or representative proceeding.
Changes to these terms
We may update these terms as the product evolves. For material changes, we will email you at least 14 days before the change takes effect.
Continued use of Sernix after the effective date constitutes acceptance. If you disagree, you may cancel your account before the effective date.
